Terms of Service

1. Acceptance of Terms

By accessing or using PayorMap (the "Service"), including any free or paid features, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and subscribers.

The Service is operated by Tranche Group LLC ("Company," "we," "us," or "our"). By using the Service, you represent that you are at least 18 years old and have the authority to enter into these Terms.

2. Informational Purposes Only

All content on PayorMap — including but not limited to dental PPO leasing relationships, carrier tier ratings, fee schedule estimates, network participation data, reimbursement impact estimates, and any other data, analysis, or editorial content — is provided for general informational purposes only.

This information:

• Does not constitute legal, financial, medical, dental, billing, coding, or professional advice of any kind
• Is not a substitute for consultation with qualified professionals, including attorneys, accountants, dental practice consultants, or revenue cycle specialists
• Should not be relied upon as the sole basis for any business, clinical, contracting, or financial decision
• May not reflect current market conditions, contract terms, or carrier arrangements

3. Accuracy Disclaimer

PayorMap aggregates data from publicly available sources, industry research, practitioner-sourced intelligence, and our own editorial analysis. While we make reasonable efforts to ensure accuracy, we make no warranties or representations, express or implied, regarding:

• The accuracy, completeness, or timeliness of any data presented
• Whether any specific carrier-to-carrier leasing relationship is currently active, terminated, or modified
• The accuracy of fee schedule estimates, reimbursement impact ranges, or tier classifications
• Whether the data reflects your specific geographic market, plan type, or contract terms

Dental PPO network leasing arrangements, fee schedules, and carrier relationships change frequently. Data that was accurate at publication may become outdated without notice. Always verify directly with the relevant carrier or network before making contracting, billing, or financial decisions.

3a. DSO and Provider Rate Data

PayorMap displays dental service organization (DSO) affiliations, provider-level reimbursement rates, and related data sourced exclusively from publicly available government databases, including the Centers for Medicare & Medicaid Services (CMS) Machine-Readable Files (MRFs) published pursuant to the Transparency in Coverage Rule, and the National Plan and Provider Enumeration System (NPPES) maintained by CMS.

This data is made available as a public informational resource. By accessing any provider rate, DSO affiliation, or related information on PayorMap, you acknowledge and agree that:

• All provider rate and DSO affiliation data is derived from publicly available government-mandated disclosures and does not represent proprietary or confidential information of any provider, DSO, payer, or network
• DSO affiliations displayed are PayorMap's independent interpretations based on NPI registry data, TIN clustering, and publicly available organizational information — they are not verified by or affiliated with any DSO, management services organization, or affiliated dental practice
• Reimbursement rates displayed may not reflect current contracted rates, may vary by plan type, geography, or contract vintage, and are subject to change without notice
• PayorMap makes no warranty that any displayed rate accurately reflects what a specific provider will be paid under any specific plan or contract
• PayorMap expressly disclaims all liability arising from any use of, or reliance on, provider rate data, DSO affiliation data, or any related information displayed on the Service, including but not limited to claims by providers, DSOs, payers, networks, or any third party asserting harm from the display of such information

If you believe any data displayed is materially inaccurate, contact us at hello@payormap.com. We will review and correct verified errors in a timely manner.

3b. Routing Probability Estimates

Claim routing probabilities, network path likelihood scores, and probability-weighted flow diagrams displayed on PayorMap are independent estimates generated by PayorMap based on publicly available network filings, state insurance regulatory disclosures, and proprietary industry analysis. These estimates:

• Are not provided by, derived from, endorsed by, or affiliated with any payer, carrier, dental network, or umbrella network organization
• Do not represent the actual claim routing logic, adjudication rules, or processing methodology of any payer or network
• Are not guaranteed to reflect how any specific claim will be routed, processed, or reimbursed
• May not account for your specific contract terms, plan type, geographic market, or individual payer configuration
• Are subject to change as network relationships, leasing arrangements, and carrier policies evolve

Routing probability estimates are provided for general informational and planning purposes only. Do not rely on PayorMap probability estimates as a substitute for direct verification with your contracted payers, carrier provider relations departments, or qualified billing and contracting professionals. PayorMap expressly disclaims any liability for decisions made in reliance on routing probability estimates.

4. Limitation of Liability

To the fullest extent permitted by applicable law, Tranche Group LLC, its officers, directors, employees, agents, and affiliates shall not be liable for any:

• Direct, indirect, incidental, special, consequential, or punitive damages
• Loss of revenue, profits, business, data, or goodwill
• Damages arising from reliance on information provided by the Service
• Errors, inaccuracies, or omissions in any content on the Service
• Decisions made based on data, estimates, or analysis found on the Service

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. In no event shall our total liability to you exceed the amount you paid for the Service in the twelve (12) months preceding the claim, or $100, whichever is greater.

5. Indemnification

You agree to indemnify, defend, and hold harmless Tranche Group LLC and its affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) any business, financial, or clinical decisions made in reliance on information from the Service.

6. Subscriptions and Payments

Pro subscriptions are billed monthly or annually as selected at checkout. Payments are processed by Stripe. By subscribing, you agree to provide accurate billing information and authorize recurring charges.

• Cancellation: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided.
• Refunds: All sales are final. Refunds are issued at our sole discretion and only in cases of billing errors or technical failures preventing access.
• Price changes: We reserve the right to change subscription pricing with 30 days' notice to subscribers.

7. Intellectual Property

All content on PayorMap — including data compilations, editorial analysis, visualizations, tier classifications, and software — is the proprietary property of Tranche Group LLC and is protected by applicable intellectual property laws. You may not reproduce, redistribute, scrape, or commercialize any content from the Service without written permission.

8. Prohibited Uses

You agree not to use the Service to:

• Scrape, harvest, or systematically extract data for resale or redistribution
• Reverse engineer or attempt to access the underlying data infrastructure
• Use the Service in any way that violates applicable law
• Misrepresent PayorMap data as independently audited or certified

9. Third-Party Links and Content

The Service may contain links to third-party websites or reference information from third-party sources. We are not responsible for the accuracy, content, or practices of any third-party site or source. Links do not constitute endorsement.

10. Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised effective date. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. For material changes, we will notify active subscribers via email when possible.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to a jury trial or class action participation.
